Introduction
These Terms of Service (“Terms”) constitute a binding agreement between you and BrickxS and its affiliates (collectively, “BrickxS,” “we,” “us,” or “our”) governing access to and use of the BrickxS websites, applications, dashboards, and related services (collectively, the “Platform”). By creating an account, accessing the Platform, or submitting information through any BrickxS interface, you agree to these Terms. If you do not agree, you must not use the Platform.
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page and, where changes are material, provide additional notice as required by applicable law or as we otherwise deem appropriate. Your continued use of the Platform after the effective date of revised Terms constitutes acceptance of those changes, except where your explicit consent is required by law.
Capitalized terms used in offerings, subscription documents, or side letters take precedence over conflicting general language in these Terms only to the extent those instruments expressly supersede them for a specific transaction.
Eligibility
The Platform is intended for adults who can form legally binding contracts in their jurisdiction. You represent that you meet the minimum age requirements in your country of residence (typically eighteen years or older) and that you are not barred from using the Platform under applicable sanctions, export control, or anti-money-laundering laws.
Certain features—including viewing or participating in specific investment opportunities—may be limited to users who satisfy suitability, accreditation, or professional investor criteria under local law. Where those restrictions apply, we may refuse access, suspend features, or terminate accounts that do not meet stated requirements, even if other parts of the Platform remain generally available.
Account responsibilities
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, except to the extent caused by BrickxS’s gross negligence or willful misconduct. You agree to notify us promptly of any unauthorized access or suspected security incident.
Information you provide when opening or maintaining an account must be accurate, complete, and current. You must not impersonate another person, create multiple accounts to circumvent limits or verification, or use the Platform on behalf of a third party unless you are duly authorized and disclose that relationship to us as we request.
KYC and verification
We conduct identity verification, sanctions screening, and related checks (“KYC”) as required by law and our internal risk policies. You agree to cooperate by submitting truthful documentation, responding to follow-up questions, and refreshing information when your circumstances change or when we periodically re-verify.
Approval or completion of KYC does not constitute an endorsement of any investment, a determination that any product is suitable for you, or legal, tax, or investment advice. We may suspend or close accounts that fail verification, present elevated risk, or cannot be reconciled with regulatory expectations.

Investment risks
Real estate and private-market investments involve substantial risk, including the possible loss of principal. Yields, capitalization rates, and projected returns are illustrative or based on assumptions that may not materialize. Market conditions, interest rates, leverage, tenant defaults, construction delays, regulatory changes, currency movement, and force majeure events can adversely affect performance.
Nothing on the Platform constitutes an offer to sell or a solicitation to buy any security where such offer or solicitation would be unlawful. Securities may not be registered in your jurisdiction; availability does not imply that an investment is appropriate for you. You should consult independent legal, tax, and financial advisors before making investment decisions.

Fractional property investment disclaimer
Where the Platform facilitates fractional interests in real estate or pooled vehicles, you acknowledge that your economic rights are defined by the applicable offering documents, operating agreements, or subscription materials—not by a direct, recorded deed in your personal name unless expressly stated otherwise. Fractional structures may limit control, transferability, and voting rights compared to whole-asset ownership.
Share counts, funding progress, and projected metrics displayed in the product interface are derived from information provided by sponsors, administrators, or third-party data feeds. They may be delayed, rounded, or subject to restatement. BrickxS does not guarantee the accuracy of forward-looking metrics and is not responsible for errors in third-party sourcing except as expressly agreed in writing for a specific mandate.
Rental listings disclaimer
Rental listings and related content on the Platform are provided for informational purposes. BrickxS is not necessarily the landlord, broker, or property manager unless clearly identified as such in writing for a given listing. Photographs, floor plans, amenity lists, and rent figures may change without notice; you should confirm material terms directly with the listing party before relying on them.
BrickxS does not warrant that any rental opportunity will remain available, that a lease will be offered on stated terms, or that a property complies with all local licensing or short-term rental regulations. You are responsible for compliance with housing, zoning, and tax rules applicable to your tenancy or use.
Payments and deposits
Funding instructions, wallet balances, and settlement timing are described in-product and may vary by asset class, jurisdiction, and payment rail. You agree to follow published procedures for deposits, withdrawals, and allocations. Where BrickxS or its partners facilitate conversion between fiat and digital assets, spreads, network fees, and operational cut-off times may apply and will be disclosed as required by law or in the relevant product terms.
Chargebacks, reversed transfers, or insufficient good funds may result in suspension of activity, cancellation of pending subscriptions, or offsets against other balances held for your benefit, subject to applicable law and the specific terms of the transaction.
User conduct
You may not use the Platform to violate law, infringe intellectual property, distribute malware, scrape or reverse engineer our systems beyond permitted interoperability, harass other users or staff, manipulate markets, launder money, or evade sanctions. We may investigate suspected abuse and cooperate with law enforcement and regulators.
Automated access (including bots that stress infrastructure or circumvent rate limits) is prohibited without prior written consent. We reserve the right to throttle, block, or terminate sessions that degrade service quality for others.
Intellectual property
The Platform, including its design, trademarks, logos, software, documentation, and curated data compilations, is owned by BrickxS or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes in connection with services we provide.
Feedback you provide may be used by BrickxS without restriction or compensation to you, except where prohibited by law. You retain ownership of your pre-existing materials; you grant us a license to host, display, and process content you upload solely as needed to operate the Platform and comply with law.
Limitation of liability
To the fullest extent permitted by applicable law, BrickxS and its officers, directors, employees, and agents disclaim liability for indirect, incidental, special, consequential, or punitive damages, and for loss of profits, goodwill, data, or opportunities, arising out of or related to your use of the Platform, even if advised of the possibility of such damages.
Our aggregate liability for claims arising out of or relating to the Platform or these Terms (other than indemnification obligations, gross negligence, willful misconduct, or liabilities that cannot be limited by law) shall not exceed the greater of (a) the fees you paid to BrickxS specifically for platform access in the twelve months preceding the claim, or (b) one hundred U.S. dollars, except where a higher cap is mandated by statute.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted in your jurisdiction.
Termination
You may close your account in accordance with in-product instructions, subject to completion of outstanding obligations and regulatory holds. We may suspend or terminate access if you breach these Terms, if we are required to do so by law, or if continued provision of the Platform to you creates unacceptable operational or reputational risk.
Provisions that by their nature should survive termination—including ownership, confidentiality, limitation of liability, governing law, and dispute resolution—will survive.
Governing law and disputes
These Terms are governed by the laws of the State of New York, United States, excluding conflict-of-law rules that would apply a different body of law, subject to mandatory consumer protections in your country of residence where they cannot validly be waived.
Except where prohibited, you and BrickxS agree that exclusive jurisdiction for disputes arising out of these Terms or the Platform shall lie in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction there. For users in the European Economic Area or United Kingdom, nothing in this section limits your rights to bring claims in your home courts where such limitations are not enforceable.
