Purpose of this document

This Disclosures page summarizes important risks, limitations, and responsibilities associated with using the BrickxS platform (“BrickxS” or the “Platform”) to evaluate or participate in real estate-related opportunities, including fractionalized interests where offered. It is not a prospectus, offering memorandum, or personalized recommendation. You should read it together with the Terms of Service, the Privacy Policy, and the transaction-specific documents that govern any investment you make.

Investment risk disclosure

All investments involve risk, including the risk of loss of principal. Real estate is illiquid, can be difficult to value, and may be affected by macroeconomic cycles, credit conditions, tenant creditworthiness, unexpected capital expenditures, environmental liabilities, title defects, insurance availability, and geopolitical events. Private placements may be subject to transfer restrictions, long lock-up periods, and limited secondary markets.

Projected returns, internal rates of return, cash-on-cash yields, and similar metrics shown on the Platform are based on assumptions provided by sponsors or modeled by BrickxS for illustrative purposes. Actual results may differ materially. You should perform your own diligence and not rely solely on Platform summaries.

No guaranteed returns

Neither BrickxS nor any sponsor guarantees any level of income, appreciation, or return of capital. Target yields and funding progress indicators do not represent promises of performance. Economic outcomes depend on execution, market conditions, and factors outside anyone’s control.

Where the Platform displays fractional share pricing or pool economics, those figures reflect current configuration of an offering and may change before your subscription is accepted or funded.

Property market risks

Property values can rise or fall. Comparable sales, cap rates, and appraisals are point-in-time references and may not predict future value. Local supply and demand, interest-rate sensitivity, tax reassessment, rent control, and regulatory changes can materially change economics. International investors may face additional currency and repatriation risks unless hedging is contractually provided—and even then, hedges can fail or be costly.

Rental income variability

Rental and operating cash flows can fluctuate due to vacancy, lease-up timing, tenant defaults, operating expense inflation, property management performance, seasonal demand (particularly for short-term rental strategies), and unforeseen maintenance. Distributions may be reduced, delayed, or suspended in accordance with governing documents and liquidity of the underlying asset.

Liquidity risks

Interests offered through the Platform may not be freely transferable. There may be no public market, and secondary sales—if permitted at all—may occur at a discount to net asset value or not at all within your desired timeframe. You should invest only capital you can afford to hold for the full contemplated duration of the opportunity.

Fractional structures can impose additional gates on redemption, including manager discretion, pro-rata limitations, and suspension during wind-down or material corporate events.

Regulatory disclaimer

BrickxS’s regulatory posture depends on how services are structured in each jurisdiction and may evolve. Not all products or features are available in all countries. Nothing on the Platform should be interpreted as BrickxS providing individualized investment advice, legal advice, or tax advice unless you have a separate written agreement with a BrickxS entity explicitly providing such services and appropriately registered or exempt.

Platform responsibilities

BrickxS provides technology, information organization, and—where applicable—operational workflows to support compliant access to opportunities introduced by third parties or managed vehicles. Unless expressly stated for a specific program, BrickxS is not the issuer of securities, the general partner of a fund, or the property manager of underlying real estate. Our responsibilities are defined by your user agreement and any separate service or placement agreement you execute.

User responsibility

You are solely responsible for investment decisions you make after using the Platform. You should read the full legal package for each opportunity, including risk factors, fee schedules, conflicts of interest, and organizational documents. Consult qualified tax, legal, and financial advisers regarding your personal situation.

If you do not understand an instrument, fee, waterfall, or structural feature, you should not invest until you do understand it or have obtained professional guidance.
